1. Introduction

These Terms of Service constitute a binding agreement between you and NubSatang (นับสตางค์). By accessing or using the platform, you agree to be bound by all of these terms in their entirety. If you do not accept any of these terms, please discontinue use of the service immediately.

2. Definitions

• "Platform" means the website nubsatang.com and all related services.
• "User" means any individual who has registered an account and uses the platform.
• "Shop" means an online store created by a User on the platform.
• "End Customer" means a customer of a Shop who communicates through channels connected to the platform.
• "Content" means all data, images, and materials uploaded or created by a User on the platform.

3. Eligibility

To use the platform, you must meet all of the following requirements:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding contract.
• Provide information that is accurate, complete, and kept current at all times.
• Hold only one account per individual; sharing accounts with others is prohibited.

4. Scope of Services

Services provided by the platform:

• Product and inventory management system.
• Pre-order management system.
• Automated chatbot for order intake and customer responses (currently supporting LINE as the first channel).
• Sales analytics dashboard.
• AI assistant for business data summaries.
• Team management system.
• Loyalty points and gift management system for customers.

Services not provided:

• We are not a reseller of your products and have no direct involvement in your sales transactions.
• We are not responsible for the quality, accuracy, or safety of the products you sell.
• We do not provide legal, accounting, or tax advice of any kind.
• The AI assistant provides analytical information only and does not constitute financial or investment advice.

5. User Accounts

• You are solely responsible for maintaining the security of your login credentials (email and password).
• You must notify us immediately if you discover or suspect any unauthorized use of your account by contacting contact@nubsatang.com.
• We may suspend or terminate your account immediately upon finding any violation of these Terms of Service.
• You may delete your account at any time through the settings page on the platform.

6. Intellectual Property

• You retain ownership of all data and Content that you upload or create on the platform.
• You grant us a license to store, process, and display such Content solely for the purpose of providing the platform services.
• The platform, its source code, design, user interface, and all trademarks are the property of NubSatang.
• Copying, modifying, distributing, or creating derivative works from any part of the platform without prior written authorization is strictly prohibited.

7. Acceptable Use

Users agree not to engage in any of the following conduct:

• Using the platform for any illegal or fraudulent activity.
• Uploading Content that infringes any copyright, patent, or other rights of third parties.
• Attempting to access the data, accounts, or systems of other shops without authorization.
• Using bots, automated scripts, or any other means to access the platform in an unauthorized manner.
• Sending spam or unsolicited messages through the platform's notification system or bots.
• Selling illegal goods, counterfeit products, or products that infringe the trademarks of others.

8. Service Plans and Payment

• The platform currently offers a free plan for core features at no charge.
• Paid plans with additional features will be made available in the future.
• When paid plans are introduced, fees will be charged on a monthly basis via Stripe, a PCI DSS-certified payment processor.
• Plan pricing may change with no less than 30 days' advance notice provided by email or an in-platform notification.

9. Refund Policy

• Free plan: There is no charge; therefore, no refund is applicable.
• Paid plans (when available): A refund may be requested within 7 days of the payment date for that billing cycle if the service does not perform as described.
• Plan cancellation: You may cancel a paid plan at any time; the service will remain accessible until the end of the billing cycle already paid for.
• How to request a refund: Send an email to contact@nubsatang.com stating the reason and including proof of payment.

10. Limitation of Liability

• The service is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied.
• We shall not be liable for any indirect damages, incidental damages, loss of profits, or loss of data arising from your use of or inability to use the platform.
• Our maximum aggregate liability to you is limited to the fees you have paid us in the preceding 12 months, or zero (0) THB for users on the free plan.
• We make no uptime guarantee or service-level agreement (SLA) for the free plan.

11. Suspension and Termination

We may suspend or terminate your account in any of the following circumstances:

• Violation of these Terms of Service.
• Non-payment of fees when due (once paid plans are available).
• Use of the platform in a manner that is illegal or may cause harm to others.
• Account inactivity exceeding 12 consecutive months.

Except in cases of urgency or necessity, we will provide advance notice to your registered email address before suspending or terminating your account.

12. Changes to Terms

We may revise these Terms of Service from time to time to reflect changes to our services or applicable law. Material changes will be communicated with no less than 15 days' advance notice via email or an in-platform notification. Continued use of the platform after the effective date of revised terms constitutes your acceptance of those changes in full.

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute or claim arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Thailand.
